Anything (ie programs) that rely on the registry may need re-installing, as the files and settings transfer wizard is rather lame.
If you install winohes to another directory(Ie: c:\winhoes) and upgrade that one, you should be able to run both os's, with the other only being a reboot away.
if your dsl modem came with a disc, that installs account information onto your computer, then you shall need that disc fo xp, but if you no-longer have it, I'm sure ur ISP will send u a nu one.
The XP upgrade will copy all of the windows xp files to your harddrive and let you use XP
